Zebra Models online Contract

HERBY IT IS AGREED as follows:
(1) Here in and after called the model. You have been appointed to become a model (meaning model, actor or stage performer) to work with Zebramodels and it is free to register and upload your photos and video in our website. You will be called upon to take part in our Photo Sessions / Commercials / Fashion Shows / Stage Dance / TV Work / Music Videos.
(2a) Whenever we book you for photo shoots / Filming and Videos, Zebramodels holds all the copyrights. All images taken by all our photographers and all our clients, worldwide copyrights belong to us and at all times.
(2b) If Zebramodels books a model for any event the agency will receive 30% from the model's commission fee. The agency reserves the right to cancel any booking without compensation. The model is entitled to the payment after his/her job is completed. The payment will be made available after 10 days after receiving the funds from the client. You will receive a cheque payment from Zebramodels by post and a statement will be e-mailed to you. You the model must contact Inland Revenue for your self-assessment VAT.
(2c) If we book you for corporate hospitality trade show events, we will receive 35% from your wages. Also if Zebramodels support you financially. The money owned to Zebramodels Ltd will be taken from your wages at any time. It will show on your statment.
(2d) The model named above must not undertake any job from our clients in any part of the world without contacting the agency, as long as the model is still working with Zebramodels. The model is required to immediately contact Zebramodels if any of our clients offers him/her a job. You the model always have to direct the client to Zebramodels. You should not give any of our clients your personal details. You should always give the agency's details to the client whenever you attend a casting for Zebramodels. After a casting you must contact Zebramodels.
(3) If the model named above is guilty of any serious misconduct or any serious breach or non-observance of any of the conditions in this agreement, or neglects, fails or refuses to carry out the duties assigned to him/her, he/she will be removed from the Zebramodels' website, network and data. If Zebramodels is holding any payment due to you, we will pay you in full and we will remove your name from our agency.
(4) If the model cannot keep an appointment, he/she must contact Zebramodels immediately and at least 48 hours before the event. Failure to do so will result in the model being expelled from Zebramodels.
(5a) If you need any assistance or have any questions or concerns, please contact the agency.
(5b) Termination of this contract within one year will be a breach of the contract. Models can terminate this contract after one year. It will take us 7 days to close your account. You will be advised of the same in writing. If a model defaults on this contract within one year, You the model will be remove from data and website. If Zebramodels is holding any payment due to you we will pay the amount in full and we will close the account.
All the photographs and videos you appeared on still belong to Zebramodels. and the photographers /videographers. Zebramodels will hold all the rights of all the photographs and videos in our data at all times.
(6) From time to time Zebramodels shall publish incoming jobs on the website and e-mail job list to all the members.
(7) We will promote you on the Zebramodels website for one year. After one year you can stay with Zebramodels or you can leave. We may book you for a photo shoot if you do not have the right photographs to promote you on our website.
(8) Zebramodels is an employment agency. We promote you as a model or actor to our clients and we will do our best for you.
(9) This is a non Exclusive contract. We may provide jobs for you at any time if we find you a job. It is however not a guarantee.
(10) Zebramodels is acting on your behalf to receive payments from the clients every time you do a job.
(11) The model named above grants Zebramodels/ clients the absolute right to use worldwide and perpetual right and license, under model's rights of publicity, privacy, and all other rights, to copyright, use, publish, publicly display and perform, copy, distribute in any media (including without limitation any electronic media) market and sublicense all portraits, pictures, images, sounds, and likenesses of model captured or recorded by Zebramodels and his clients, including modifications, derivations and composites thereof ( the "Content" ) in any form, format or medium, including without limitation photographs, videos, DVD's internet streaming video any and any other digital or non-digital formats, whether now known or hereafter invented. Zebramodels may exercise its rights in the content; including without limitation its rights to alter and combine the content, for any purpose whatsoever without further compensation.
(12) All Content in whatever photographic, video, audio, digital or other form of format, shall constitute the sole and exclusive property of Zebramodels and the clients shall own all the rights, title and interest, including all intellectual property rights, therein. The model agrees that he or she has no rights in the content or in the proceeds from exploitation of the content. Model named above will not assert any rights in or to the content (including any "moral rights", which model expressly waives). The model named above has not granted any right that would conflict with the grant of right herein.
(13) The model named above grants to Zebramodels the absolute right to use, in any context in company sole discretion, in conjunction with the content or its exploitation, any printed or verbal matter of any kind, including model's biography, pictures, audio recordings or other items provided by model any printed or verbal matter from any source other than model and any audio or visual content provided by other (which may be used without limitation to double or "dub" any performance attributed to Model). Model shall have no right whatsoever to review or approve any such use.
(14) As part of (and without limiting) the foregoing grant, Model expressly grants to Company all rights (including without limitation privacy and publicity rights) to identify Model, in connection with any permitted Zebramodels use of the content by Model's stage, Name as shown in the first paragraph above and by any other legal fictitious or stage name which model has used or now or in the future uses publicly (including any trademarked names) in connection with modeling or other commercial or professional activities.

To terminate this contract after one year, you the model will be required to write to Zebramodels or the contract will continue. We are regulated by the BERR. Copyright 1998-2004 Zebramodels. All rights reserved. Protected by English law. 1 year (one) contract please sign & date as you agreed the above contract. Variation of the Terms & Conditions to Zebramodels may amend this contract from time to time by a document referring expressly to any paragraph.
